Versatile Scotland international Rae is set to leave Rangers at the end of the season while Inverness striker Dargo will be a free agent in the summer.
Caley Thistle director of football Graeme Bennett said: "Forest's name is being mentioned and a few English clubs have expressed some level of interest.
"But as far as I'm aware ours is the only firm offer he has."
